Alchemy Loops License Agreement

This License Agreement ("Agreement") governs the use of all sample packs, loops, one-shots, and audio files ("Samples") provided by Alchemy Loops ("Licensor") through alchemyloops.com and associated distribution platforms.
By purchasing, downloading, or using any Samples, you ("Licensee") agree to the terms outlined below.

1. Grant of License
Alchemy Loops grants you a **non-exclusive, worldwide, royalty-free license** to use the Samples in your original musical compositions, recordings, and commercial productions.
You **do not** need to pay additional royalties or fees for released tracks that incorporate these Samples.

2. Permitted Uses
✅ **You may:**
- Use the Samples in original music productions (personal, commercial, or commissioned work)
- Modify, edit, process, or layer the Samples within your compositions
- Release and monetize tracks containing the Samples on streaming platforms, physical media, sync licensing, or other commercial outlets
- Use the Samples in film, TV, advertising, video games, podcasts, and other audiovisual projects

3. Prohibited Uses
❌ **You may not:**
- Resell, redistribute, share, or sublicense the Samples as standalone audio files or as part of another sample pack, sound library, or competing product — even if modified, processed, or re-pitched
- Use the Samples to train AI models, create derivative sample libraries, or generate competing products under any brand or alias
- Register the Samples (or any derivative version) with content identification systems (e.g., Content ID, Audible Magic) in a way that restricts other licensees' use
- Claim copyright ownership over the original Samples themselves
- Stream, broadcast, or publicly distribute the Samples as isolated audio files outside of a musical composition

4. Ownership & Copyright
**Alchemy Loops retains full copyright and ownership** of all Samples.
**You own your compositions** created using the Samples. However, the underlying Samples remain the intellectual property of Alchemy Loops.
No copyright is transferred through this license. Only usage rights are granted as outlined in this Agreement.

5. Attribution
**No credit or attribution is required** when using these Samples in your work.
You may not use the "Alchemy Loops" name, logo, or branding in your marketing materials, product descriptions, or promotional content without prior written consent.

6. Warranty Disclaimer
The Samples are provided **"as is"** without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement.
Alchemy Loops does not guarantee that the Samples are error-free or will meet your specific requirements.

7. Limitation of Liability
Under no circumstances shall Alchemy Loops be liable for any direct, indirect, incidental, special, or consequential damages arising from the use or inability to use the Samples, even if advised of the possibility of such damages.

8. Termination
This license is effective until terminated. Your rights under this Agreement will terminate automatically if you fail to comply with any term.
Upon termination, you must immediately cease all use of the Samples and delete any copies in your possession.

9. Governing Law
This Agreement is governed by the laws of **Italy** and the European Union, without regard to conflict of law principles.
Any disputes arising under this Agreement shall be resolved in the courts of Rome, Italy.
